The Board of Directors of the Company is responsible for creating corporate value and thereby improving shareholder value.
The Board of Directors of the Company is composed of members having diverse perspectives, abundant management experience and sophisticated skills. Therefore, candidates are selected based on their character, experience and insights, irrespective of their business sector, nationality, gender or age.
Reasons for selection of basic requirements and skill matrix for Directors
The basic requirements for Directors are: 1. Corporate management and specialized knowledge (the ability to assess changes in the business environment in the field of beauty and health and develop appropriate strategic plans for achieving the Company's Group vision and Business Objective of the Group . Directors should also possess a broad range of knowledge and experience that they can apply to the realization of business plans and the maximization of corporate value), and 2. Extensive knowledge and experience in ESG (environmental, social, and governance) initiatives and sustainability (environmental and social problem-solving, etc.) that they can apply toward achieving the Company's business plans, enhancing corporate value including non-financial aspects, and ensuring the smooth execution of Group management. Additionally, Directors should also meet business execution requirements for the implementation of the "Five Materialities" set by the Company: (1) Employee growth, (2) Consideration for the health of the planet, (3) Consideration of healthcare that supports local communities, (4) Consideration for the beauty and health of our customers, and (5) Strengthening of governance and compliance.
